Welcome to abv.dev (the “Site” and, together with any related products, services, applications, tools, and APIs, the “Service”). These Terms of Service (the “Terms”) are a binding agreement between you and ABV, a Delaware company with a principal place of business at 1000 N. West Street, Suite 1200, Wilmington, Delaware 19801 (“ABV,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. Eligibility

You must be at least the age of majority in your jurisdiction and capable of forming a binding contract. The Service is not directed to children under 13. You may use the Service only in compliance with applicable laws.

2. Changes to the Service and Terms

We may modify the Service, and we may update these Terms from time to time. Material changes will be indicated by updating the “Last Updated” date or by additional notice where required by law. Your continued use of the Service after changes means you accept the updated Terms.

3. Accounts and Security

You may need an account to use some features. Provide accurate information and keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately at security@abv.dev of any unauthorized use or security incident. We may suspend or terminate your account for suspected misconduct.

You agree not to:

  1. Copy, modify, reverse engineer, or attempt to extract source code, except where permitted by law;
  2. Bypass or interfere with security or access controls;
  3. Use the Service to violate law, infringe IP rights, or distribute malware;
  4. Access the Service or accounts without authorization, or scrape the Service except as permitted by robots.txt or a written agreement;
  5. Use the Service to build a competing product or for benchmarking or performance testing without our written consent;
  6. Interfere with operation of the Service or impose unreasonable load on our infrastructure;
  7. Misrepresent your identity or affiliation, or attempt to gain unauthorized access to data;
  8. Exceed any posted or documented rate limits for APIs.

We may investigate violations and cooperate with law enforcement.

7. Third-Party Services

The Service may integrate with or link to third-party services. We do not control and are not responsible for third-party services. Your use of them is governed by their terms and privacy policies.

8. Beta and Experimental Features

We may offer features labeled alpha, beta, preview, or experimental. These may be incomplete, change without notice, or be discontinued. They are provided “as is” and at your own risk.

9. Open-Source / Components

Certain components may be offered under open-source licenses. To the extent a license expressly conflicts with these Terms for those components, that license will govern your use of the component.

10. Fees and Payment (If Applicable)

If any portion of the Service is paid: you agree to pay all fees and taxes, authorize us to charge your payment method, and understand fees are generally non-refundable except as required by law or expressly stated. We may change prices with reasonable notice for recurring services. Auto-renewing subscriptions will renew until canceled, which you may do via your account or by contacting support@abv.dev.

If you receive non-public information from us (e.g., pre-release features, documentation), you must use it only to evaluate or use the Service and must not disclose it without our consent.

12. Privacy and Data Processing

Your use of the Service is subject to our Privacy Policy. If you require data processing agreement, contact privacy@abv.dev.

13. Term; Suspension; Termination

We may suspend or terminate your access at any time, including for actual or suspected violations of these Terms, risk to the Service or users, or non-payment. You may stop using the Service at any time. Upon termination, your license ends and Sections that by their nature should survive (including 4–6, 8–22) will survive. We may delete or disable access to User Content after termination.

If you believe content on the Service infringes your copyright, send a notice to our designated agent:

Your notice must include: (a) your contact info; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act; and (f) your physical or electronic signature. We may remove content and terminate repeat infringers.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS. THE SERVICE DOES NOT PROVIDE PROFESSIONAL ADVICE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ABV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABV'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID ABV (IF ANY) FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow certain limitations; in those cases, the above limitations apply to the fullest extent permitted.

17. Indemnification

You will defend, indemnify, and hold harmless ABV and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of law or third-party rights.

18. Export and Sanctions Compliance

You may not use or access the Service if you are located in, or are a resident or national of, any country or region subject to U.S. embargoes or sanctions, or if you are on any government list of prohibited or restricted parties. You agree to comply with all applicable export, re-export, and sanctions laws.

19. U.S. Government Rights

If you are a U.S. federal government end user, the Service is provided as "Commercial Products" and "Commercial Computer Software" with only those rights as set forth in these Terms.

We may provide notices via the Service, email, or your account. Notices to ABV must be sent to legal@abv.dev and to 1000 N. West Street, Suite 1200, Wilmington, Delaware 19801 (Attn: Legal).

22. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

23. Force Majeure

We will not be liable for any delay or failure to perform due to events beyond our reasonable control, including acts of God, labor disputes, disruptions of Internet or hosting providers, or actions by governmental authorities.

24. Entire Agreement; Severability; Waiver

These Terms (and any policies referenced, including the Privacy Policy) are the entire agreement between you and ABV regarding the Service and supersede prior agreements. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the remainder will remain in effect. Our failure to enforce any provision is not a waiver.
